Firmware License Agreement

Effective Date: December 7, 2025
Applies To: All devices manufactured and sold by Kafmasino S.L. containing embedded or downloadable firmware.

1. Grant of License

Kafmasino S.L. (“Licensor”) grants the customer (“Licensee”) a non-exclusive, non-transferable, and limited license to use the firmware (“Firmware”) solely in conjunction with the hardware product it was provided with (“Device”).

2. Ownership

The Firmware remains the intellectual property of Kafmasino. This license does not transfer ownership. You are not purchasing the Firmware, but receiving a right to use it with your Device.

3. Delivery Method

The Firmware may be:

  • Preinstalled on the Device at time of delivery;

  • Provided via downloadable update;

  • Delivered electronically through Kafmasino customer support channels or web portal.

In all cases, the Firmware is licensed separately from the physical hardware.

4. Separate Commercial Value

The Firmware has independent commercial value and may be invoiced separately from the hardware. This separation may be reflected in product pricing, invoices, and international customs documentation.

5. License Restrictions

You may not:

  • Copy, modify, reverse-engineer, or decompile the Firmware;

  • Use the Firmware in any unauthorized or illegal manner;

  • Extract or distribute the Firmware independently of the Device.

6. License Transferability

This Firmware License is non-transferable by default, except under the specific conditions below:

a. Transfer with Original Hardware

  • The Firmware remains embedded in the original Device;

  • The Device is sold or permanently transferred to a third party;

  • You provide the third party with a copy of this License Agreement, and they agree to be bound by its terms.

Upon such transfer, you must cease all use of the Firmware and delete any copies in your possession.

b. Written Consent

Any other license transfer outside the above conditions requires prior written consent from Kafmasino. The Company may deny transfer or impose administrative conditions or fees.

c. No Sub-licensing

You may not sublicense, lease, or share this license with any third party, even temporarily.

7. Termination

This license automatically terminates if:

  • You violate any of these terms;

  • The Device is used outside its intended scope as a Kafmasino espresso machine;

  • The Firmware is extracted or redistributed.

Upon termination, you must cease all use of the Firmware.

8. Warranty Disclaimer

The Firmware is provided “as is,” without warranties of any kind. Kafmasino disclaims all implied warranties, including but not limited to merchantability and fitness for a particular purpose.

9. Governing Law

This Agreement is governed by the laws of Spain, excluding its conflict of law rules. Any disputes shall be resolved in the courts of Spain.
